After some more digging i found an acquired company that has some similarities to what Amedica has done to date:

First thing thats similar is a proxy vote scheduled for May 22, 2012 & filed April 12, 2012. The proxy contains 2 major similarities, the election of a new Auditing firm & a significant increase to the option pool for management (original amount was 1.5million proxy increased it to 4.5 million or 3.7 million issuable shares).

Finally came a NT 10-Q late filing with similar language to ours:

The scenarios are not exactly the same as Intermec filed its 10-Q 2 days later but consider that Intermec had over 2000 employees at the time while Amedica has 30...only 3 people in accounting.

The last link is the announcement of Intermec being Acquired by Honeywell 8 months after filing of the proxy.
