Sure you can trade restricted shares.....privately. You can sign them over to anybody you want for any reason you want as long as you don't go through a broker or otherwise trade on the marketplace. You will need to get a medallion guarantee and pay all of the TA's transfer fees.

And because any "trade price" is not of record, it won't change the value of everybody else's shares.

Which is a primary reason Wayne won't register them. It will be hard for him to claim a fake asset for them if they trade and immediately drop to no-bid.

He will first publish financials showing them to be worth a Gazillion dollars, then he will arrange to dump his shares first, then he will allow others to try to sell them at .0001

I have no humble opinions, but I do have opinions and those are what I express in my posts. BUT...I have been wrong before and likely will be wrong again so do your own research and don't blame me if you are too lazy to do so.
