Why would it? Oshana doesn't deal in convertible notes. He deals in debt.

Obviously, his relationship with ORRV was also the purchase of debt, and the subsequent filing and settlement of a 3(a)(10) suit. Convertible notes can't be converted and resold till the Rule 144 holding period has expired. No problems like that with 3(a)(10) stock, which is freetrading upon issuance.
