Most likely they are not going to be considered "bogus".
Scotts back pay (which is not included) could be easily refused since he was the CEO and any failure is on him.

But the others will probably win. Not because they deserve it but because they are not officers in charge.
The company made the deal and they look as victimized as common shareholders

They can play the poor investor who was screwed by Scott the scammer.

But for those constantly asking why I am here this is just another reason.
I want to see Scott fall.
Nobody deserves it more.
