one other thing to consider is when does the BOD know their "time" is up. when they go before nasdaq, how do they justify the status quo of the bod?

how do they prove up director independence? cj, es and dp affirm they are independent? cj employed by es while director? good luck on that one. nasdaq is not beholden to delaware's "do whatever you want" laws...

these guys have to know their self dealing party is nearing the end.. all imo
