Several folks including myself have submitted concerns about the BOD and how the BOD has impacted institutional investment and share price to the right folks at Nasdaq. And folks at Nasdaq have been helpful in providing guidance. And Nasdaq does not look at state laws like Delaware where directors can entrench themselves.

So mgmt has a ready and able well qualified BOD member with Stafford at the gate and given Ronin filed a 13d, it appears Stafford is ready to get involved. So if adding a qualified BOD member is not one of the paths mgmt is willing to take, then we know mgmt has not worked in good faith to fulfill their fiduciary duties and have only been providing lip service. And even if mgmt avoids the R/S (ie share price above $1), the problems with the BOD remain and will continue to have a negative impact on institutional investment.
