The notes in the S1 are convertible into shares to be sold by the selling Shareholders.

The S1 is a strong signifier the sellers intend to convert these notes and sell them as per the document.

This is a common practice for an otc company to issue such notes to fund an uplisting, which is most likely what these were from.

Now that we have completed the uplisting?, the sellers often want their money back, so they resell the shares.

Small dilution but necessary for the uplisting.
