Debt purchase agreement states the time window of repayment to Keystone. Rockwell is just a debt collector. They bought this debt from Keystone and need to repay it in a certain time. Info came from the court filings on the purchase agreement. It also states that the creditor(Keystone) has no intentions on utilizing the proceeds for investment in the company. I would think this would hold Rockwell under the same guideline.

Rockwell is sold shares and needs to sell shares to repay Keystone. They have already done this to pay at least half of the debt before Bishop was here. I bet there was around 100k left owed, more likely less due to the constant dilution by McFadden before Bishop came along. The dilution would have helped pay off debt.
