READ Some Rational Analysis and u decide. (Edited the original post #6690)

1)They had 158M OS on March 20, 2017

2)They had 237.4M OS on Apr 25, 2017

3)So they converted notes worth of 80M shares in more than a month. That is not exactly dumping

4)If you read the 10Q it is inside that the OS would be around 250M if all notes are converted

5)In the previous days, I posted few times the status of all notes a/o the last 10Q filing date (see below at the bottom)

6)Of course, they have converted more notes since Apr 25.

7)More likely than not ALL the notes are done by now or close to done.

8)Their balance sheet is so good that the S1 that they withdrew was at 20% discount. Go find another OTC stock where they are able to issue notes at 20% discount. 40% discount is the minimum.

9)They already had 1 billion AS giving them more than 700 million shares available to dump. Why do they need more shares right now?

10)If they would try to dump that 700 M shares the pps would be crushed to 0.0001 long before (probably with 200 million dump) and would go to no bid.

11)They had no NEED to increase the AS at all now if the sole purpose is to dump shares.

12)A clean shell is worth $2.5 million cash these days.

13)Now the market cap of this company is less than $500K

18)He is not going to come on board to destroy his career in some stinky pinky. He is a hands-on Tech guy and can earn a lot as such.

19)They canceled the S1 at 20% because they have a better alternative.

20) I have been working with VC-backed Tech Startups since 1999 and have helped raise more than $250 million. I don't know the details or inside of their products. What part is native or what part is simply off the shelves and put together. Whether they have any IP or not? So it is hard to judge. But just hearing that presentation I feel like if this was a privately held company it could be valued over $50 or $100 million.

21)So why did they increase the AS now? My guess and is a pure guess :

a) If you hear the presentation the last part says M&A. Maybe they found great acquisition candidates that they can buy using preferred shares but they still need the AS on the paper for the preferred . http://www.redchip.com/events/12/april-2017-global-online-growth-conference/APHD

OR

b) to have the power to maneuver to avoid any potential takeover. The pps is so low that some private party can buy more than 50% of the shares in the open market and can cause a serious problem trying to take over the company. The shares are simply available as a tool to thwart any takeover attempt.

22)My explanation is simply based on rational and reasoning and expertise on the subject.

23)Will they be stupid enough to dump 200-300M shares and take it to 0.0001 and then keep selling the remaining 4+ billion shares at 0.0001 and Jason destroy his career? Possible but not likely. However, I have seen many stupid things in OTC.
