The threshold vote is to first accept the plan. The plan must be accepted first by a 2/3 vote. Then those that voted to accept the plan have another vote whether to reinvest or receive a pro data distribution.

If 2/3 of that vote, vote for reinvestment then all shareholders will be reinvested. Otherwise, there will be a pro data distribution.
