It's possible that you both are correct but it's a little harder to prosecute somebody on "Intent" in the financial sector vs the criminal sector IMO. Since most startups fail anyways, he can always give the illusion of legitimacy while still taking investors money and be covered because only he knows his intent. He's skirting the law with the forward looking statements and disclaimers but only he knows whether he actually wants to succeed or not. GL2U and all here. Looks like it will be needed.
