Basically, Frank is alleged to have kept funds that were secured from a third party for his personal use instead of passing them on to Nodify as promised via agreements.

Although Phil Sands is not named as a defendant, he is mentioned several times in the complaint. I wonder if this was the last straw for him and is why he resigned.
