Thanks...don't know how I forgot. Here's the language:

"The company’s stock currently trades on the OTCMarkets OTC Pink Current tier of the market. The company’s shares are DTC eligible. On May 12, 2015 the company made an application for a tier change to the OTCQX (common) tier. When the company’s common stock fell in price beneath the $.10 threshold, and when our sponsoring broker shuttered his operation, our application went into hiatus. Subsequently, we have been in contact with OTCMarkets and we plan to revive our application after we complete an M&A transaction. To that end we have agreed to work with an M&A partner, a current SEC filer with a large shareholder base. We have executed a Preliminary Agreement and are in the final stages of completing a Definitive Agreement. We anticipate closing this transaction during second quarter 2017."

Frankly I don't understand it.
DECN was an SEC filer a few months ago and opted out (for reasons that weren't clear) through the Form 15 filing. They were a couple of years of audited statements and a reverse split away from the OTCQB tier as I understand it. The OTCQX tier doesn't get them much that the OTCQB wouldn't and the QB wouldn't require a reverse split ($.01 minimum bid).

Only 6 months earlier this was the plan...

A+ registration which will facilitate our move upward along the OTCMarkets continuum. The company believes that a Tier 2 Reg. A+ registration will be the wave of the future for aspiring companies to move up the stock trading tier. Prior to the shutdown of our previous sponsoring brokerage, the company did secure the approval of its Designated Advisor for Disclosure (DAD), a mandated part of the process."
