IR told me that the Articles of Incorporation requires a shareholder vote to offer the equivalent of 25% or more of issued shares in an offering.

An offering that raises $6.9 million would no doubt exceed that limit.

The explanation that Nasdaq has required the filing of the S-1 seems very plausible.
