There are companies that are reporting (have stock registered with the SEC) and companies that do not. If you do not then you never have to file a thing. If you are reporting you are required to file always or deregister (file a form 15) If the company wanted to deregister then they would have to catch up on all their filings and file a form 15. As well to deregister you have to have less than XXX (can't remember offhand) shareholders and have a market cap under xxx. Once in a while the SEC will go through and suspend reporting issuers who are not filing anymore. Not sure how active they have been lately as I have not kept up on it.
