VANCOUVER, British Columbia, March 28, 2017 (GLOBE NEWSWIRE) -- Pure Energy Minerals Limited (TSX VENTURE:PE) (FRANKFURT:A111EG) (PEMIF) (the “Company” or “Pure Energy”) announces that it intends to undertake a non-brokered private placement (the “Private Placement”) for total gross proceeds of up to $2,000,000, subject to a 15% over-allotment option. Proceeds of the Private Placement will be used for general working capital and exploration and development activities on the Clayton Valley South and Terra Cotta Projects. The Private Placement will consist of up to 4,000,000 units (excluding any over-allotment) of the Company (each a “Unit”) at a price of $0.50 per Unit. Each Unit will consist of one common share of the Company (a “Share”) and one-half Share purchase warrant (each whole such warrant a “Warrant”).....

So as it reads, the company is needing at least $2m for continued general working capital, exploration and development (note, no production of lithium), and are wanting to sell 4m shares of common stock at a price of .50 cents a share to the private placement buyers to get the funds. This also allows those who / whom will participate, the option to purchase up to 15% of addition stock, accompanied by a warrant equaling 1/2 a share value, of which it will take a whole share (2 warrants per share), to purchase these additional shares at a price of .75 cents per share, for a set period of time, with other restrictions and rules qualified in the purchase.
