i might be confused but my understanding of the merger is for mccusker holding to merge with oorv in which mccusker survives and oorv is dissolved. at that point, mccusker holding will be a wholly owned subsidiary of mccusker holdings and might just stay that way or actually merge into mccusker holdings.

from the merger agreement:

Financial Statements and Income Tax Returns.
The parties contemplate that the Surviving Corporation, as a subsidiary of ORRV’s consolidated group, will include its financial
results in ORRV’s consolidated financial statements covering the periods after joining ORRV’s consolidated group.

so mccusker holding will be a subsidiary of mccusker holdings.
