With all the shells out there, he picked one with 60+ million shares, a bad balance sheet and these nasty convertibles. It's hard to figure. It makes me wonder if the insider cabal made some kind of deal with holders of FHAL stock or convertibles prior to the announcement of the merger. This is completely speculation on my part though.
