WHEREAS, Purchaser wishes to contribute the Project Intellectual Property Rights to the Company in exchange for the Company common shares;

you know what this means? It means I am giving this company my personal assets and I want shares to be sure I keep the value of those said assets with me and I don't want anyone to take them from me without me wanting to part with them. As in no take over by buying majority of shares in said company either. Not for sale.
