Mothra talked to Daryl Horton (CFO) yesterday and had the speakerphone broadcasting on PalTalk. He stated that they had a self imposed deadline for the 10k, which was 70 days past the end of the year (June 30th).

Also, per the 8K filed on July 11th, "The pro forma financial information required by this Item 7(b) has not been included with this filing and will be filed by amendment to this Form 8-K not later than 60 days after the date this initial report on Form 8-K must be filed.".


This would put the both the self imposed deadline per Horton, and the 8K imposed deadline, per the 8k on July 11th, at approximately the same time, around September 10th. We can expect the 10k by that date at the latest. But, they could release this at any time.

I think it stands to be pretty obvious why they wouldnt have released the 10k yet. In early August, which they had originally indicated as a time for releasing the 10k, they had 1/3 of the bond assets they have now. They have jumped from 800 million in holdings to 2.3 billion! Don't you think that's a good reason to hold things off for a few weeks? Past PRs indicate they have been expecting these bonds all along, so when the opporunity came, why not hold it off.

People get impatient because they WANT the execs with this company to play it like a P&D. Rufus, Ben, John, and Daryl are building a real company here, and of course they conscious of the share price, but their main job is to make this company a success. Everyone wants their $15 dollars; but tell me this, knowing their own value, do you think their priority is going to be paying out penny traders or making sure everything is in place to make this business a success?

Thought on bond issue: Everyone questions how CSHD got these countries and Lehman Bros to sign to these bonds. After all, what does CSHD have that would afford them to gain an annual income % from the bonds and to add them to their asset backing?

The badgers around here would have one believe that if RPH&Company can do it, well, then anybody should be able to do it. Afterall, they repeatedly tell us how RPH is a dunce and retarted and can't put two sentences together. Hmmm, sound familiar? (think - Democrats and Bush - funny as sh*t how he continually runs circles around them, keeping them to chase their own tail all the time, and catching it. OUCH! loL!) And, therefore, since everybody else isn't doing it, well, it must be fraudulent and hence, a scam, and we're all being taken for fools that will be left holding a bag full of worthless paper.

But, let's assume that the bonds are for real...afterall, we're talking Lehman Bro's here and major countries like Finland and Venezuela, so why should we not think they're for real. The PR's and 8K were anything but vague.

Now, assuming that, again, what could be the security for the bonds?

Admittedly, not being the finance major and very green when it comes to understanding bonds, I do know this much...to have any value at all, they need to have the risk factor behind them be minimal. In this country, it's often the taxpayer. Afterall, we're the backbone of this country...sh*t, we ARE this country and everyone knows, when it comes to productivity...we're hard to beat. Next month in my district, we're voting on a bond issue to FUND upgrades necessary for our local schools. Well, it's us, the taxpayers that are backing those bonds because it's US that will ultimately pay the bill for those bonds (through taxes). In the meantime, our district gets the money allocated on the bond UP FRONT to pay for the work that needs to be done, the bond is a traded security for a set # of years before payment is due on it and interest is paid to the holder of the bond (in this case, the county (I guess?)).

Now, in the case of CVSU, they're the holder of the bond and they get the money allocated on the bond UP FRONT to pay for the work that needs to be done (FUNDING OF THEIR JV'S, SUBS and FUTURE PROJECTS!). They also get the annual interest for the bond as revenue (6-13% so far, I believe, depending on the bond and terms set). But, again, WHAT IS THE BACKING SECURITY FOR THE BOND!? HOW WILL THEY BE ABLE TO PAY FOR THESE IN THE FUTURE WHEN THAT TIME COMES?

Hmmmm...could it be US!? The U.S. taxpayer!!!???

Meez tinks so, through the U.S. Federal Gov't and contracts that are already signed and in the works with them. :)

Conversion Solutions Holdings Company is just that...a holding company. They MANAGE the assets and their allocation. They operate in the PRIVATE SECTOR outside the beurocratic snares of the Federal Gov't. Therefore, this could be a way that the Feds see to get done what they want w/ new ventures in a quicker, more streamlined and WELL MANGAGED way. Afterall, having the manangement of THEIR projects in the hands of a PUBLICLY TRADED COMPANY that must answer to a BOD and who's SOLE RESPONSABILITY is that of fiduciary nature (TO INCREASE SHAREHOLDER VALUE (read - GENERATE REVENUE AND INCOME!)), they (The Feds) may see this as a WIN situation for them. AND, by going this route, they get the work done and know the companies doing the work have the money behind then because of the BONDS and THEIR BACKING of them. The taxpayers in a sense are just paying what we always pay for - gov't needs and projects.

It's up to CSHD to manage the projects. If they manage the projects well, they get more money from the feds in terms of contracts, their JV's become profitable and are spun off then as their OWN PUBLICLY TRADED COMPANIES. It's a WIN for CSHD directors AND SHARHOLDERS alike! Make it a WIN/WIN/WIN situation...Feds/CSHD Directors/CSHD shareholders. As RPH stated, WHEN those JV's spin-off into their own publicly traded companies, it will be the CSHD shareholders who will AUTOMATICALLY received dividend in those companies in the form of SPIN-OFF COMPANY STOCK! In 5 years we could essentially have 10x's the shares we have now but in 10 different companies! All for just holding tight...just as RPH told us. :)

Now it's even more clear why we see the high level of MILITARY personell associated w/ AISS. They (the FEDS) OBVIOUSLY would like to have THEIR OWN TRUSTED personell running the show. After all, it's THEIR MONEY and THEIR CONTRACTS for THEIR PROJECTS, IMO. :)

Just sharing my own thoughts.

RPH&Company are paving new ground here, hence all the questions and unbelief.

Great post, means we have less than 2 weeks roughly from today maximum. By the way; look at the volume drying up. mms either gotta go up to get volume, or down but will get little shares but not a ton.

So again I ask as I have before to you bashers out there. If they are making money on selling shares then why is the volume not hugeeeeeeeeeee, or why is the stock not at .01. For dumping to happen that would be the signs?

Answer: This is for Real. See you at $15,$25,or is it now $42?

Here is just a bit about the people in wich we are in business with.

Dr. Mensah

Dr. Thomas Mensah, a world renowned inventor with 7 US and worldwide patents in Fiber Optics over a period of six years, was born in 1950 in Kumasi, Ghana.
He won the French Government Fellowship in 1974 to do graduate studies in Chemical Engineering at Montpelier University France, after receiving his undegraduate degree in the same field from UST Kumasi ( 1970-74). Prior to his undergraduate work, Dr. Mensah attended Wesley College practice school, Kumasi and Adisadel college Cape Coast. Dr. Mensah who is fluent in French won the National French competition in Ghana, both at the O Levels (1968) and A Levels 1970. held at Accra.

He holds Ph.D in Chemical Engineering from Montpelier University 1978, and a Certificate in Modeling of Chemical Processes from the Massachusetts Institute of Technology. (1977). He has held high level engineering positions in US industry first at Air Products and Chemicals (1980-83), then Corning Glass Works, in Fiber Optics research Sullivan Park, New York 1983-1986, where he built the the fastest Fiber Optics draw and coating process, 50 meters per second. He holds 4 patents for this effort. He joined AT&T Bell laboratories in 1986 and led the the program to develop fiber optic reels used in the guided missile program. This effort led to the development of a system that was successfully deployed at missile speeds up to Mach 1 (The Speed of sound). He received 3 US patents on this technology. Dr. Mensah also Founded the High Tech firm Supercond Technology in Norcross that specializes in Aerospace and Communication products. His firm focuses on advanced structural materials development for Supersonic US Fighter Aircraft like the F-22, the fastest Jet in the World.

On the International level Dr. Mensah is a founding member of the Emerging Technologies area for the American Institute of Chemical Engineers (AIChE). He is the first and only black person to serve as the National Chairman of the Materials and Engineering Sciences Division of the AIChE. He has edited two book volumes for AIChE, namely Fiber Optics Engineering, 1987 and Superconductor Engineering, 1992. Dr. Mensah was elected to serve as a Director and member of the Council of Board of Directors of this pre-eminent engineering organization from 1987 -1990. He also served on the visiting committee/Advisory board for Chemical Engineering at the Massachusetts Institute of Technology,MIT from 1988 -1992.

As a world expert in the field of advanced materials, Dr. Mensah has worked on specialized projects for NASA (Superconductors for space communications), the US Army (Smart munitions Picatinny Arsenal) and US Department of Energy, (Fiber optics sensors for Highway Traffic monitoring). Dr. Mensah has additional patents pending in some of these areas.

Dr. Mensah has recently led a team in the design and comissioning of one of the worlds most advanced scalable high vacuum, Radio Frequency sputtering system used for fabricating computer chips and other electronic products. His current work include next generation MEMS (Micro Electro Mechanical Systems) and Nano systems Technology. Dr Mensah has other ventures in the US aimed at improving technology transfer to developing nations and enhancing trade such as the African-Ecommerce.Com Corporation ,as well as web based training programs aimed at producing a competitive workforce for the 21 st century using the internet platform.

He is featured in the Marquis Who is Who in Science and Technology, as well as Who is Who in Optical Engineering. Since 1994, A travelling exhibit featuring 100 Black achievers in Science and Technology including Dr. Mensah is shown in major cities in the United States. He is also featured in the Black Inventors traveling exhibit around the world.

Dr. Mensah delivers technical presentations around the world, and has chaired several symposia for the American Institute of Chemical Engineers.

Thomas Kuczynski

For the past 25 years Mr. Kuczynski has been a principal lobbyist for a major U.S. natural gas company. During that time he developed very close relations with congressmen and senators, particularly from the Republican Party. His efforts in raising millions of dollars in campaign funds for these Republican officials have been greatly appreciated, and his influence among members of Congress is widely recognized within the Washington lobbying community. Don Eirich

While under contract with IPTN, Col Eirich obtained the agreement of the U.S. Department of Transportation to establish a procedure that would lead to the granting of an FAA airworthiness certificate for the CN-235. Col Eirich was also able to obtain the agreement of the U.S. Department of Defense to offer financing for a sale of the CN-235 to the Philippine Air force.

Colonel Eirich, a graduate of the U.S. Naval Academy, is currently a senior official with an NGO, the U.S.-Indonesia Society (USINDO). In that capacity, he handles defense affairs and relations with the Congress. Last year Colonel Eirich led a successful effort on the Hill that resulted in the restoration of defense relations between the US and Indonesia
