HG Restaurant Management Company (“HGRMC”), operator of Hibachi Gill, Inc. was acquired by the Company. Simultaneous with the acquisition, control was transferred to (Adel Nasser) owner of H G Restaurant Management Group Inc. HGRMGI.


The Registrant intends to file an Amendment to the Articles of Incorporation changing the name of the company at some future time.
