The NHMD shares dividend was also probably a breach of NHMD loan covenants.

All Convertible Debentures / Promissory Notes contracts I read all contain a clause that prevents any kind of distribution, dividend or shares buy-back until the debt is paid in full.

But NHMD does not post the full terms of its borrowing contracts, as most serious company do.
