That's incorrect, SHOM is not an SEC Registrant, they do Not need to file a 13G.

As for the claimed "float lock up", No one has an accurate SHOM float count - The TA doesn't report and SHOM misleadingly failed to update their OTCM numbers for close to a year.

if there was dilution, the diluter would file a SC 13G
