1.131.13 Split of ORRV Shares. Immediately prior to the Closing Date, ORRV will split the issued and outstanding ORRV Shares such that the ORRV Shares issued and outstanding immediately prior to the Effective Time shall equal approximately 3.0% percent of the total amount of issued and outstanding shares immediately after the Effective Time, calculated on a Fully Diluted Basis or three million (3,000,000) shares, whichever is greater (any stockholder holding less than 3,000 post-split shall be issued that number of shares necessary to equal 3,000).For the purposes of this Agreement, the term “Fully Diluted Basis” shall include all issued and outstanding shares of capital stock of ORRV and all shares of capital stock issuable uponconversion of all ORRV Convertible Securities, but shall exclude all options to purchase any class of capital stock of ORRV that have not yet vested as of the Closing Date.
