As for type of compensation- yes they could offer stock it really doesn't matter if it's cash or stock but obviously Wddd would prefer cash
They are not buying wddd so there is no "exchange ratio" - they would simply offer x shares at $45 which would then translate into a x / 250 mil shares per share of wddd you own
they could offer 1/5 of a share as a settlement amount and that would be $9 for all of us!!! Haha
What we care about is how many total shares they offer and what that translates into as a total value
