What I read and how I see it (from the PR) is that Cinemax is a private company that will take over the TMM shell.

My assumption is all assets (theirs) will then be transferred into the public shell.

I'm pretty sure if it already was a public company, the ticker symbol would have been in the PR.

Nowhere in the PR does it say Cinemax is a public company so the shareholder approval they must be talking about are the QBID shareholders not Cinemax shareholders -- as there apparently aren't any...yet.
