. . . Immune Pharmaceuticals Inc. (the “Company”) hereby respectfully requests that the Securities and Exchange Commission (the “Commission”) consent to the immediate withdrawal of the Company’s registration statement on Form S-3 (File No. 333-214873) together with all exhibits and amendments thereto, which was filed on December 2, 2016 (the “Registration Statement”).

The Company is seeking withdrawal of the Registration Statement because the Company has or intends to make changes to the terms of the agreements for which the Registration Statement was filed. The Registration Statement has not been declared effective by the Commission, and the Company confirms that no securities were sold in connection with the resale offering described in the Registration Statement.

Accordingly, we request that the Commission issue an order granting the withdrawal of the Registration Statement (the “Order”) effective as of the date hereof or at the earliest practicable date hereafter.



I assume that the intention to change "the terms of the agreements for which the Registration Statement was filed" refers to the coming reverse.

Does anyone know what happens in the meantime when there is no registration statement?
