TO OUR SHAREHOLDERS:

You are cordially invited to attend a Special Meeting of the Shareholders of Grey Cloak Tech Inc. (the “Company”) to be held on Thursday, February 23, 2017, at 1:00 PM, Pacific Time, at the offices of the Company’s transfer agent at QuickSilver Stock Transfer, 1980 Festival Plaza Drive, Suite 530, Las Vegas, NV 89135, to consider and act upon the following proposals, as described in the accompanying Proxy Statement:

1. An amendment to our Articles of Incorporation to increase the authorized common stock from 75,000,000 shares, par value $0.001, to 500,000,000 shares, par value $0.001;
2. An amendment to our Articles of Incorporation to authorize 75,000,000 shares of preferred stock, par value $0.001;
3. An amendment to our Articles of Incorporation to effect a reverse stock split of our common stock at a ratio up to 1-for-100, the exact ratio and timing of which will be set by our Board of Directors at a future date no later than December 31, 2017.

We are proposing this action in order to reorganize our capital structure to be more attractive to potential investors. These actions are more fully described in the Proxy Statement accompanying this Notice. The Board of Directors has fixed the close of business on December 22, 2016, as the record date for Shareholders entitled to notice of and to vote at this meeting and any adjournments thereof.
