THE authoritative source of the number of shares authorized (A/S) is ALWAYS filed with the secretary of state of the state in which the business was incorporated. That is because it is necessary to amend the corporation's Articles of Incorporation to change the A/S.

The Articles of Incorporation are always filed with the Secretary of State, and that includes amendments.

I said that the Secretary of State is the AUTHORITATIVE source for the A/S.

That means if any other source for the A/S is different from the what is stated in the Articles of Incorporation filed with the Secretary of State, the Secretary of State is ALWAYS correct.
