On 05/12/2016 I contacted the Delaware SOS and the A/S was 5 Billion - the TA is gagged so there isn't anyway to know the exact O/S.

From the last quarterly report:

During the period ended June 30, 2016, the Company issued 849,250,000 shares in connection with conversion of debt in the aggregate amount of $324,790.00 to the noteholder and/or its assignees. These shares were issued without a restrictive legend.

On May 31, 2016, the Company issued 500,000,000 shares to the Company’s Chief Executive Officer and Chairman of the Board of Directors in exchange for a one-year Consulting Contract.

According to the financials - As of June 30, 2016 the O/S was 2,335,606,702.

He is the killer for shareholders:

On September 8, 2011, the Company entered into an Asset Purchase Agreement and issued a full-recourse Promissory Note (the “Note”) to Baker Myers & Associates, LLC (“Noteholder”) in the principal amount of $7,000,000 at 5% per annum which, which as of the Effective Date, is in default pursuant to the terms of the Note (the “Obligation”) raising the interest to 8% per annum. Pursuantly, the Noteholder can covert such debt into common shares of the Company at the so as not to be a holder of more than 4.99% owner of the Common Stock at the lower of $0.0005 per share or 60% discount of the lowest closing stock price for the previous twenty trading days tolled from the date such Conversion Notice is delivered to the Company by the Noteholder not below $.00001 per share (“Par Value”). During the period ended June 30, 2016, the Company approved the conversion and/or assignment to individuals in the aggregate amount of $324,790.00 of the Note in exchange for the issuance of 849,250,000 shares of common stock.

The conversion rate is $0.0003 per share.

Of course the $7,000,000 is a bogus number from a fake acquisition - basically the shares are free.

SMAA is a dilution machine.

The no info doesn't scare me away. a lot of pinks I am in are no information. some about to be the best trades on the market when their plan gets executed. I care more about the share structure than their no information status.

There is plenty of information if you read the financials.
