There is one rather small reason, the registration fee charged by the SEC to file FORM S-8 is based on the stock price the lower the PPS the lower the fee.

However it is a relatively low fee. Other then that I would say it is based on current market which they have to base the price on to file the Form S-8.

Form S-8 is used by public companies to register shares that will be issued under an employee stock plan with the SEC.
