Shares have nothing to do with it. They only exist to cover the loan proceeds Marc spends on anything he desires. Marc will also forgive his salary in lieu of shares, eventually recover all, plus interest, mostly tax free, by spinning out, i.e. the gold subsidiary, flipping the shell into something else, or, shortly after RS, step down or deregister and cash out all shares without any disclosure required, you'll read about it if they ever file a Q or K. The RS is filed at the SOS, Marc did not disclose that by choice, as is his right, he doesn't have to say anything until it occurs.
