Now my big problem is proving that it "might have been ascertained by reasonable inquiry" that the shares would be worth considerably more than $0.08
PP will point out that no one else wanted the deal at $0.09 and management considered the terms favorable. Remember all those CCs where they thanked DMRJ for having faith in them, showing confidence in them. If this was all a conspiracy and they were all crooks you have to admit, they made sure they had an alibi.
