Been there many times myself and have experienced many types of halts! The filings are not the main culprit. Its usually misrepresentation of something trivial not audited financials.

If they dont get their 10ks filed in a timely manner usually its a 3 year or 4 year period of time this can lead to being delisted for failure to file required reporting. NEWC is only behind by one 10K, not 2 or 3. SEC even publishes the data before it becomes official so you can get out ahead of time but let me guess you already knew that! Part of the risk I take to make a 40 bagger within a year! They can also file an exemption form making themselves exempt from the filing requirements but that is unlikely IMO here!

Its even better when they come back from being desisted which is 1 out of 100 because they start out on the OTCQB! But you can also file the exemption form but I suspect that NEWC will file its 10K once the audit is completed. The 10Qs as you know are not audited independently like the 10K that has to be!

Gray market only occurs during a potential fraud case, the key word being potential, not an official delisting for lack of filings which requires bringing all financials current and then going through the SEC review and approval and then FINRA which takes about 4 to 12 months. The good thing about this is they only require the last 2 years of audited financials or 10ks. So if you are late more than 2 years which most are like 3 or 4 yrs it saves you money with accountants but cost some money with lawyers with addressing the Form 10 questions from the SEC and Form 211 with FINRA!

The halt can be anywhere from a few days to a many days give or take but its a temporary halt and yes the gray markets suck because it would lose 70% value as no MM is allowed to quote it.
