Seth Gerszberg and Franky Zapata were looking to get 35 million, 15 + 20 working capital and personal employment contracts, guessing 1M+ annual along with one of the IMSC managers. According to the LOI.

Why does IMSC feel it does not owe the 350K breakup fee? It knows the inside deal details won't come to light. Seth's personal lawyer Donnenfeld is an associate of PP.
