To be blunt, David is butthurt because Smith's actions essentially screwed him out of $1m of his personal investment. Since he can't personally sue them as CEO, he mentioned he wanted to resign so he could go after them. They've had a proficient new CEO lined up for a few months supposedly, and David is still on as a direct consultant for guidance and familiarity.
