8-K in a nutshell:
1.He issued shares to himself OVER the current value-he believes the current PPS is UNDERVALUED.
2. Voting rights--he wants to retain control--no buyout or others telling him whats RIGHT for the co--THATS GOOD.

In regards to payment IF something goes sour--He wants to be compensated for his efforts--NOTHING WRONG WITH THAT!
Mr. Sheppard--shareholders SUPPORT YOU!
