Those 23,706,708 shares to John Fife are very close to the 21,944,635 shares previously owned by around 104 different investors that were re-sold in a "private transaction". According to the S-1 filing on July 2014 the shares will be offered at a privately negotiated rate.

Keep in mind that Allen & Watkins took over Dominovas Energy on February 23, 2014.
