Thanks Web that was what I remembered. But why was this in any way illegal?
They took the cash and they supposedly used it to create the spin out. They were not allowed to do the spinout. That doesn't mean they were breaking the law.

Unless they were paid back (which I doubt) they still own their worthless shares. There is nothing saying they were guaranteed a return on investment
