1. NO DISCOUNT TO THE MARKET PRICE
2. A min floor of 12 cents/ 50% coverage with 15 cent warrants.
3. only 3 day look back for pricing
4. 9.75 mil

So NO DRAWS can happen below 12 cents!!
ALL negotiated while stock was trading at 7-9 cents!!


Also fees are paid with 144 shares/Restricted stock.
