It doesn't really matter if the 3,400,000 shares tied to the purchase by GGI at 1.09 are included in the OS or not....they represent but a small fraction of shares that will be converted and sold onto the market when GGI obtains the warrants tied to this equity purchase.

However, having said that....since the 3,400,000 shares have not been purchased by GGI as of yet, they CANNOT be included in the issued and outstanding share count....they have neither been issued nor are they currently outstanding!
