Maybe they didn't think he needed to file one because he owned no shares and the SEC sent a nice reminder once the deadline passed. It takes a lot for the SEC to suspend trading, much more than a delayed filing of a very mundane form 3.
For instance I've seen companies simply not file an annual report for almost a year an not be suspended.
The BioSolar thing is very telling though. Blaming it on the auditors makes no sense because they don't prepare those forms. It means there is more cooperation between those firms than they disclose. They are after all all seeded by the same people.
