There seems to be some misunderstanding about the S-1.
Tangiers currently has ZERO shares. The company isn't able to sell a single share until the S-1 becomes effective as per the agreement.
The company can sell UP TO 100 million shares for UP TO $5 million as an equity line of credit with a 36-month term. The company decides when to sell the shares and there are limits around how many they can sell at one time (max of the avg trading volume over a 10-day period, if I recall correctly).
Seems to me like you'd want to at least get the max amount for those shares. Preferably, you'd get the SP up to the point where you don't have to sell all 100 million to get the $5 million.
