In addition, the proceeds from the sale (pending shareholder approval) will result in a debt-free company with the proper debt/equity position to be uplisted to a senior exchange.

It should be emphasized that shareholders will have the ultimate control over how the proceeds (minus debt) are used from the sale of the ETD business through the shareholder voting process, which requires shareholder approval on the transaction.
