That is how the filing presents the information on page 20, if you look. Personally, I've only seen S1 forms used when a company registers shares to sell in a public offering. There is a Plan to Sell section in the filing. Confusing for sure.

Jim Sims is indicating this was filed as part of the company now being over 50% held in the U.S. It will reduce a holding period for warrant exercisers but is not a indication of whether or not they will be sold. I think this should have been accompanied by a PR for clarity. This kind of filing on a Friday, with the all the sales wording, before a long weekend just all around seemed like it wasn't good.
