How so?

No terms were disclosed and no details of what the "agreement" was even for. Was it a binding definitive agreement? Was it a non-binding agreement? Just a BS Letter of Intent? Seriously...

Whatever it was, the actual agreement needed to be filed as an exhibit to that 8-K. Major disclosure deficiency.

Methinks that 8-K was nothing more than yet another Wade smokescreen to try and keep the faithful buying while the insiders were dumping.
