ZMRK registered the corporation in Delaware. So yes, they are a Delaware filed corporation.
But to do business in California they need to file a registration with the California Secretary of State. This filing with California has to be done yearly. At one point Zalemark was doing that. But there is a nominal filing fee that must be paid yearly. Zalemark didn't have the funds to pay the filing fee. When you don't pay or file then you "surrender" the right to conduct business in California. Zalemark is domiciled (this means their only place of business) is in California. Hopefully you are following along.

To really simplify everything...Zalemark is not supposed to be conducting business from any location in California...because they couldn't come up with the payment to the California Secretary of State.
