ALL corporate structures whether a traditional "corp" as in "Widgets Inc" or LLC's, or LTD companies etc HAVE SHAREHOLDERS. ALL. PERIOD. It can be ONE or it can be 10 or a 1000 shareholders, but there must be shareholders in a corporate entity. Just cause a company is private doesn't mean it doesn't have shareholders? That's the entire purpose of setting up a corporate entity- it's a legal construct that separates the individual "human person", aka the "SHAREHOLDER" (who would be known as an "owner" for example, in a sole proprietorship business that chooses not to "incorporate" or use an LLC format or similar) - is to separate the individual from the corporate structure/entity in terms of assets, liabilities, legal liability, etc There's no such thing as a corporation with no shareholders? DOES NOT EXIST?

And now, the "shareholders" of Microbot are about to become the MAJOR MAJORITY of all that was known as STEM, as in they will receive 95% of the O/S shares and any "other" STEM shareholder(s), aka the retail holders will get 5% of what's left. A ROYAL screw job. It's the equivalent of a massive, massive reverse split taking place to any existing STEM shareholder, other than the 7 or 8 Microbot Sr Mgt insiders who are effectively becoming the equivalent of preferred shareholders if one wants an analogy (there could be "mystery" investor, insider shareholders of Microbot also, since it's private at this point, but they will be 100% disclosed once the full SEC filing "prospectus" gets filed)- THEY, the Microbot "team" will receive nearly everything.

SEC FILINGS, they're published for a reason.

If one owns say 5000 shares of STEM today, and they are not part of the Microbot Sr Mgt insider team, then all they will receive IF, IF this mass disaster of a so called "merger" is completed- would be 5% of their 5000 shares.

5000 X .05 = 250 shares to the present STEM shareholder. END OF BAD STORY.
