until he does not complete the merger as described, he is no liar, he may be a pumper, and overconfident before realizing the complexity of SEC and NASDAQ buraucracy, but he not a liar. I've worked for brokerages, and I know the SEC, and the NASD, and there is nothing here that looks out of place to me.
