I would think you just need a simple majority vote in order to take control of the company. Having one board member is not enough. It looks like Benny just ignores them.
I think you would need to know what's left of the company if Benny were kicked out. Does any of his IP stay? Can Benny take his IP and just go home. And, how much debt is the company liable for.
