The Z shares have a 100x voting power. Markiplier, Benn, Robbins, and Schoof each have 5 million Z shares, total voting power, 2 billion regular shares.

The also hold a total of about 386 million regular shares.

Their total voting power is about 2.386 billion shares.

I would think you just need a simple majority vote in order to take control of the company. Having one board member is not enough. It looks like Benny just ignores them.

I think you would need to know what's left of the company if Benny were kicked out. Does any of his IP stay? Can Benny take his IP and just go home. And, how much debt is the company liable for.

Edit
You can find the shares owned by the board members in the last 10K page 52 or 53: https://www.sec.gov/Archives/edgar/data/1411179/000116552715000156/g7793.txt

The Z -shares Robbins and Schoof got were in an 8K:https://www.sec.gov/Archives/edgar/data/1411179/000116552715000480/g8030.txt

this also has the 100x super-voting rights info of the Z shares.
